Voice Cloning Usage Rules

Welcome to the Voice Cloning feature (hereinafter referred to as "the Feature"). Before using the Feature, please read this Notice carefully in its entirety. Pay attention to the bolded terms (including those governing our liabilities, your rights, etc.), as they may significantly affect your rights and interests. If you believe any bolded term may impair some or all of your rights, please review it carefully again and only start or continue using the Feature after ensuring you fully understand and accept such terms. By using the Feature, you acknowledge that you have read, understood, and agree to be bound by all terms of this Notice.

Minors must not use the service without the prior consent of their legal guardian. If you are the legal guardian of a minor, please safeguard your account credentials to prevent the minor from using the service without your consent. You should also strengthen supervision and management of the minor and fulfill your guardianship duties.

1. Feature Description

The Feature refers to a tool legally owned and operated by IQIYI INTERNATIONAL SINGAPORE PTE. LTD. and its affiliates, which is designed to provide you with personalized voice customization and generation services based on artificial intelligence ("AI") models and related technologies. Using your own recording equipment, you may record and upload a voice sample by reading designated text as prompted on the platform. This sample serves as raw data for acoustic feature extraction, which AI then uses to generate a digital voice model highly similar to your submitted sample (hereinafter referred to as the "Cloned Voice"). Once generated, you can save the Cloned Voice to your personal space and subsequently apply it within the platform's voiceover generation module.

1.1 Cloned Voice Extraction

The audio you record or upload when creating a Cloned Voice, along with the vocal feature information contained therein (including but not limited to personalized characteristics such as timbre, speech rate, pause habits, breathiness, and modal particle expressions), will be processed using AI to generate a Cloned Voice that closely matches the characteristics of your uploaded voice sample. Please be assured that your vocal feature information will only be used for generating the Cloned Voice and its derived audio or video content; it will neither be stored nor shared with third parties.

When uploading audio content to create a Cloned Voice, please ensure that it is your own voice or that you have obtained full authorization from others. We may take steps to verify your uploaded content. If we identify any potential infringement in your created audio or vocal feature information, we reserve the right to take appropriate actions, including requiring re-recording or prohibiting your access to features such as voiceover generation.

1.2 Cloned Voice Management

After successfully saving a created Cloned Voice to your personal space, you can choose to copy it to your team space. Executing this copy action constitutes your explicit authorization for all members within that team space to view and use your Cloned Voice for voiceover generation starting from the date of copying, without requiring additional consent for each specific use. However, this authorization is strictly limited to direct use by members within the current team space; no member who gains access to your Cloned Voice has the right to sub-license or forward it to any third party. During the authorization period, we will not send separate notifications to you if members are added to or removed from the team space; however, you can check the current member roster at any time via [NadouPro Homepage - Click Top-Right Profile Icon - Switch to Team Identity - (Team) Settings - Members & Beans]. If a member leaves the team space during the authorization period, their permission to use your Cloned Voice will automatically terminate upon departure. Upon expiration of the authorization period or a member's departure, authorization for the Cloned Voice terminates automatically. Audio works synthesized by authorized members using the Cloned Voice prior to termination will remain valid and will not be automatically taken down or deleted by us; however, creating new voiceover tasks after expiration will require re-authorization by you.

You can manage your Cloned Voices at any time—including deleting them or setting usage permissions for others—via [NadouPro Workbench or Canvas Generation Tool - Switch to Text to speech or Voice Conversion Mode - Click Voice Button - Voice library Management Panel]. If you have multiple Cloned Voices, the management and permission settings for each voice operate independently, and you must manage and set permissions for them individually.

After you delete a Cloned Voice or modify its permission scope, content previously generated using your Cloned Voice by you or your authorized users will not be automatically deleted. If you wish to delete such content, you must do so yourself or contact your authorized users to do so. However, the aforementioned deletion or modification will take effect immediately for subsequent operations: team space members will no longer be able to use the original Cloned Voice for new voiceover generation tasks, and the original voice will also be removed from the team space.

1.3 Voiceover Generation

The voiceover generation feature is designed to process text inputs or existing audio using AI to produce audio content rendered by our preset voices or a specific Cloned Voice of your choice. This includes the Dialogue Voiceover feature and the Voice Conversion feature.

The Dialogue Voiceover feature allows you to enter text scripts, which our AI then renders into corresponding audio files using your selected voice. The Voice Conversion feature lets you upload an audio file (including but not limited to vocal forms such as lyrics, acting lines, readings, breath sounds, or crying). While preserving the original audio content and prosodic features, we replace its voice with your selected target voice to generate a completely new, AI-converted audio file.

You may view and use our preset voices for voiceover generation at any time, but you may not copy them to your personal space or team space. Furthermore, we reserve the right to directly adjust, replace, or remove any or all preset voices based on operational needs and actual circumstances, without obtaining additional consent from you. The provision of preset voices does not constitute a transfer or licensing of any intellectual property rights regarding such voices to you. You shall not upload them to any third-party tools or platforms, nor shall you sublicense, copy, plagiarize, resell, or use them for any other commercial or non-commercial purposes. After a preset voice is adjusted, replaced, or taken down, works you previously completed using that voice will remain valid and unaffected; however, once a voice is taken down or replaced, you will no longer be able to use the original preset voice to create new voiceover tasks.

2. Terms of Use

2.1 When using the Feature, you shall comply with this Notice, the NadouPro User Service Agreement, the NadouPro Privacy Policy, the NadouPro Paid Service Agreement, and other notices and rules related to NadouPro products and services (hereinafter collectively referred to as "Platform Rules"). If Platform Rules specify provisions for a particular matter that is not addressed in this Notice, you shall comply with the Platform Rules. If provisions in this Notice are inconsistent with the Platform Rules, this Notice shall prevail.

2.2 If your input contains biometric information such as human voices, you warrant that you hold full rights to such information or have obtained full, lawful, and valid authorization from the rights holder. You shall also inform the recorded individual in accordance with applicable laws and obtain their separate consent. If the voice is not yours or you lack the necessary authorization for it, please do not input such content when using NadouPro or this Feature; otherwise, you shall solely bear all consequences and liabilities arising therefrom. We may detect and analyze characteristic points of the voice in your input content to assist you in using the service; however, we will not utilize this information to identify specific natural persons.

2.3 You shall respect and protect artists' rights, including their rights of portrait, reputation, and privacy. You shall not use an artist's personal attributes—such as their likeness, name, or voice—without authorization. You shall not defame, distort, or improperly modify an artist's image, nor associate an artist with any commercial brand, so as to avoid adverse consequences such as infringing upon artists' rights, causing public confusion, diminishing their commercial value, or damaging their standing in society.
